The specific services, deliverables, timelines, and fees for each project will be agreed upon between Sylex Studio and the client before work begins.

2. Use of Our Website

You may use the Sylex Studio website for lawful purposes only. You agree not to:

• Use the website for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to our website, systems, or servers.
• Interfere with the operation or security of the website.
• Copy, reproduce, modify, or distribute website content without permission.

Any work requested outside the agreed scope may require additional fees, time, or a separate agreement.

4. Project Scope & Client Responsibilities

Clients are responsible for providing accurate information, materials, content, brand assets, approvals, and feedback required to complete their projects. This may include:

• Logos and brand guidelines.
• Text and website content.
• Images, videos, and other media.
• Product or service information.
• Account access and credentials where required.
• Feedback and approvals.
• Business and contact information.

Delays in providing required materials, feedback, or approvals may affect the project timeline.

Sylex Studio is not responsible for delays caused by incomplete, inaccurate, or late information supplied by the client.

5. Payments & Fees

Project fees, payment schedules, deposits, retainers, and other charges will be communicated to the client before work begins.

Unless otherwise agreed in writing, work may begin after the required initial payment has been received.

Clients are responsible for paying invoices according to the agreed payment schedule. Failure to make payments when due may result in:

• Suspension of services.
• Delayed project delivery.
• Suspension of website or marketing work.
• Additional charges where applicable.
• Termination of the project or service agreement.

Third-party costs, including hosting, domains, software subscriptions, advertising spend, plugins, applications, stock assets, and other external services, may be charged separately unless specifically included in the project agreement.

6. Revisions & Approvals

The number of revisions included in a project will depend on the agreed scope or package.

Clients are expected to review and approve deliverables within a reasonable timeframe.

Requests that significantly change the original project direction, scope, functionality, or requirements may be treated as additional work and may result in additional charges.

Once a deliverable has been approved by the client, further changes may be subject to additional fees.

7. Website Development

For website development projects, Sylex Studio will build the website according to the agreed scope and specifications.

Project timelines may vary depending on the complexity of the website, availability of client materials, revisions, integrations, and third-party services.

Sylex Studio cannot guarantee uninterrupted operation of third-party platforms, hosting providers, plugins, APIs, payment gateways, or other external technologies.

After project completion, ongoing maintenance, updates, technical support, or additional development may be provided under a separate agreement or service plan.

8. SEO & Marketing Services

SEO, digital marketing, social media marketing, and paid advertising involve factors outside the direct control of Sylex Studio.

While we use professional strategies and industry-standard practices, we do not guarantee:

• Specific search engine rankings.
• A specific amount of website traffic.
• A specific number of leads or sales.
• Guaranteed advertising results.
• Guaranteed social media follower growth.
• Guaranteed revenue or return on investment.

Search engines, social media platforms, advertising platforms, and other third-party services may change their algorithms, policies, pricing, or functionality without notice.

Advertising budgets paid to platforms such as Meta, Google, or other advertising networks are separate from Sylex Studio's service fees unless otherwise agreed.

9. Intellectual Property

Unless otherwise agreed in writing, Sylex Studio retains ownership of its pre-existing materials, proprietary processes, internal tools, templates, strategies, systems, and other intellectual property used to provide services.

Upon full payment of all applicable project fees, the client will receive the agreed final deliverables specified in the project agreement.

Third-party materials, including fonts, stock photography, plugins, software, music, templates, or other licensed assets, remain subject to their respective licenses and terms.

Clients are responsible for ensuring that any materials they provide to Sylex Studio do not infringe the intellectual property or other rights of third parties.

10. Client Content & Materials

The client retains ownership of content and materials supplied to Sylex Studio unless otherwise agreed.

By providing materials to us, you confirm that you have the necessary rights, licenses, or permissions to use those materials.

You grant Sylex Studio permission to use the provided materials solely for the purpose of completing and delivering the agreed services.

The client is responsible for any claims arising from materials supplied by the client that infringe the rights of another person or organization.

11. Portfolio & Marketing Use

Unless otherwise agreed in writing, Sylex Studio may display completed work in its portfolio, website, social media, presentations, case studies, and other promotional materials for the purpose of demonstrating our services.

If a project contains confidential information or the client requests that the work remain private, Sylex Studio will respect the applicable confidentiality agreement or written request.

12. Third-Party Services

Some projects may require the use of third-party services, platforms, software, hosting providers, payment processors, advertising platforms, plugins, APIs, or other external technologies.

Sylex Studio is not responsible for outages, policy changes, security incidents, pricing changes, limitations, account suspensions, or other issues caused by third-party providers.

Clients may be required to maintain their own accounts and subscriptions with third-party providers.

13. Confidentiality

Sylex Studio respects the confidentiality of client information.

We will take reasonable steps to protect confidential business, project, technical, and other information shared with us during a project.

Confidentiality obligations may be further defined through a separate non-disclosure agreement or service agreement where required.

14. Cancellation & Termination

Either party may terminate a project or ongoing service arrangement according to the terms of the applicable service agreement.

If a client cancels a project after work has begun, the client may be responsible for payment for work already completed, approved expenses, third-party costs, and other non-refundable charges.

Sylex Studio may suspend or terminate services if the client fails to make required payments, provides misleading information, violates these Terms & Conditions, or engages in unlawful or abusive conduct.

15. Refunds

Refund eligibility, where applicable, will depend on the specific service agreement, proposal, or package purchased.

Because many Sylex Studio services involve customized work, strategy, design, development, production, or time-based services, completed work and services already performed may not be refundable.

Any refund terms applicable to a specific project will be communicated to the client before the project begins.

16. Disclaimer

Sylex Studio provides its services using reasonable professional care and expertise.

However, we do not guarantee that the website, services, marketing campaigns, SEO efforts, software, or digital products will always be uninterrupted, error-free, or achieve a particular business outcome.

Results may depend on factors outside our control, including market conditions, competition, platform algorithms, client actions, budgets, third-party services, and changes in technology.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Sylex Studio will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our website or services.

Our total liability relating to a specific project or service will, where permitted by law, be limited to the amount paid by the client to Sylex Studio for the specific service giving rise to the claim.

Nothing in these Terms & Conditions is intended to exclude liability that cannot legally be excluded under applicable law.

18. Indemnification

You agree to indemnify and hold Sylex Studio, its team members, contractors, and service providers harmless from claims, damages, liabilities, losses, or expenses arising from:
